AMLIN plc ('Amlin')


This announcement is being made pursuant to paragraph 16.13 of the Listing
Rules.

The following Directors have informed the Company that they have acquired rights
over additional shares as a result of adjustments made to all of the Company's
outstanding share options following the recent rights issue.  Such adjustments
also involved reductions of approximately 1.5% in the exercise prices of
options.  Option holders, including Directors, received notification of the
terms of the adjustments in April 2002.
