In addition, the Director is deemed, as a potential beneficiary, to be
interested in the whole of the holding of the trustee of the Group's Employee
Share Ownership Trust, which is currently 8,607,072 Ordinary Shares of 25p each
in the Company, representing 4.19 per cent of the currently issued share
capital, and is held for the benefit of all of the Group's employees.  Of these
8,607,072 shares, 310,000 have been allocated to satisfy options (if and when
exercised) granted to Mr Stace.
