Notification of major interest in shares

Pursuant to section 198 of the Companies Acts 1985 please note that the number 
of Associated British Engineering plc ordinary shares in which Pershing Keen 
Nominees Limited are interested in have risen from 45,000 shares, equivalent to 
3.43% of the issued ordinary capital to 55,969 shares, equivalent to 4.27% of 
the issued ordinary capital.

The shares are or will be registered in the name of Pershing Keen Nominees 
Limited (PSL991 account) on behalf of Magro Investments S.A.
