David Anthony Howard Brown, a director of the company yesterday purchased 1178 
ordinary shares of Associated British Engineering plc at a price of £1.14 per 
share.  The company has today been notified of this transaction.

This increases his share holding in ordinary shares of the company from 968 
shares to 2146 shares.
