Anite Group PLC 14 September 2000 ANITE GROUP PLC --------------- Anite Group plc ('Anite') today announces that Reilrop BV (a Dutch subsidiary of Anite) has entered into an agreement under the terms of which it will subscribe for up to 10,900 convertible preference shares of 1 pence each in the capital of a newly-formed company, Anite.net Limited ('Anite-net'), at the rate of £266.06 per preference share and for 1,900 ordinary shares of 1 pence each in the capital of Anite.net, at par, for a maximum consideration of £2.9m. Reilrop BV's initial holding of ordinary shares in Anite.net represents 16.9 per cent of Anite.net's issued share capital. On conversion of its preference shares, Reilrop BV will hold up to 55 per cent of Anite.net's issued share capital. The other shareholders in Anite.net are Nicholas Wenman and Richard Beaton, who are both directors of a number of Anite Group subsidiaries. Anite.net will provide local authority IT systems as on-line services, it will also offer portal services (internet gateways) which will link local government with their communities, suppliers and other authorities.
