Application has been made to the Financial Services Authority and the London
Stock Exchange plc for 25,227,364 ordinary shares of 10p each ('shares') to be
admitted to the Official List.

It is expected that admission of the new shares will be granted on 14 August
2002 and trading will commence on 15 August 2002.

300,363 shares are being issued as deferred consideration for the acquisition of
Carus AB and 761,363 shares are being issued as deferred consideration for the
acquisition of Didgicom Limited.

These shares will rank pari passu with the existing issued Ordinary shares.
