                        Anite Group plc (the 'Company')

Application has been made to the Financial Services Authority and the London
Stock Exchange plc for 3,100,000 ordinary shares of 10p each ('shares') to be
admitted to the Official List.

It is expected that admission of the new shares will be granted on 9 September
2002 and trading will commence on 10 September 2002.

The shares are being issued as deferred consideration of the Company's
Acquisition of Carus AB.

These shares will rank pari passu with the existing issued Ordinary shares.
