Anite Group plc (the 'Company')

Application has been made to the Financial Services
Authority and the London Stock Exchange plc for 339,190
ordinary shares of 10p each ('shares') to be admitted to
the Official List.

It is expected that admission of the new shares will be granted
on 22 March 2002 and trading will commence on 25 March 2002.

40,950 shares are being issued as part of deferred consideration
for the Company's acquisition of Braid Hill Holdings Limited and
298,240 shares are being issued as part of deferred consideration
for the Company's acquisition of FSS Group Limited.

These shares will rank pari passu with the existing
issued Ordinary shares.
