Application has been made to the Financial Services

Authority and the London Stock Exchange plc for 1,164,596

ordinary shares of 10p each ('shares') to be admitted to

the Official List.



It is expected that admission of the new shares will be granted

on 7 December 2001 and admission and trading will commence on

10 December 2001.



These shares are being issued in connection with the

Company's acquisition of the entire issued share capital

of FSS Group Limited.



These shares will rank pari passu with the existing

issued Ordinary shares.
