Anite Group plc (the 'Company')

Application has been made to the Financial Services
Authority and the London Stock Exchange plc for 2,202,783
ordinary shares of 10p each ('shares') to be admitted to
the Official List.

It is expected that admission of the new shares will be granted
on 20 December 2001 and trading will commence on
21 December 2001.

These shares are being issued as part of deferred consideration
for the Company's acquisition of Parsec
Systems Limited.

These shares will rank pari passu with the existing
issued Ordinary shares.
