Anite Group plc (the 'Company')

Application has been made to the Financial Services
Authority and the London Stock Exchange plc for 5,000,000
ordinary shares of 10p each ('shares') to be admitted to
the Official List.

It is expected that admission of the new shares will be granted
on 19 December 2001 and trading will commence on
20 December 2001.

These shares are being listed in connection with the
Company's Share Option Schemes as follows:

3,000,000 block listing for the Anite Group plc Long Term
Incentive Plan
1,000,000 block listing for the Anite Group plc Executive
Share Option Scheme No 3
1,000,000 block listing for the Anite Group plc Save As You
Earn Scheme.

These shares will rank pari passu with the existing
issued Ordinary shares.
