                       Anite Group plc (the 'Company')

Application has been made to the London Stock Exchange plc and the UK Listing
Authority for 2,501,787 Ordinary shares of 10p each ('shares') to be admitted
to the Official List. It is expected that admission to admit the new shares
will be granted on 06 September 2001 and that dealings will commence on 
07 September 2001.

These shares are being issued as part consideration for the acquisition of
Parsec Systems Limited.

These shares will rank pari passu with the existing issued Ordinary shares.
