                       Anite Group plc (the 'Company')

Application has been made to the London Stock Exchange plc and the UK Listing
Authority for 896,700 Ordinary shares of 10p each ('shares') to be admitted to
the Official List. It is expected that admission to admit the new shares will
be granted on 05 September 2001 and that dealings will commence on 06   
September 2001.

These shares are being issued to satisfy the deferred reseller fee payable by
the company to Cedar Group plc and Cedar Enterprise Solutions Limited in June
2001.

These shares will rank pari passu with the existing issued Ordinary shares.
