Application has been made to the Financial Services Authority and the London
Stock Exchange plc for a total of 2,532,183 Ordinary shares of 10p each
('shares') to be admitted to the Official List. It is expected that admission
will be granted on 7 August 2001 and trading will commence on 8 August 2001

These shares are being issued in connection with the Company's deferred
consideration for the purchase of Calculus Solutions Limited.

These shares will rank pari passu with the existing issued Ordinary shares.
