Application has been made to the Financial Services Authority and the London
Stock Exchange plc for 1,391,036 Ordinary shares of 1p each ('shares') to be
admitted to the Official List. Admission of the new shares was granted on 18
May 2001 and admission and trading will commence on 21 May 2001

These shares are being issued in connection with the Company's part
consideration for the acquisition of Delta Partners SA on 6 April 2001.

These shares will rank pari passu with the existing issued Ordinary shares.
