                       Anite Group plc (the 'Company')

Application has been made to the Financial Services Authority and the London
Stock Exchange plc for 5,177,138 Ordinary shares of 10p each ('shares') to be
admitted to the Official List. Admission of the shares is expected to be
granted on 23 April 2001 and admission and trading will commence on 24 April
2001

1,112,943 of these shares are being issued by way of vendor consideration for
the Company's acquisition of Business Computer Technology Limited and
4,064,195 shares are being issued as deferred consideration for the
acquisition of Datavance Group Sarl.

These shares will rank pari passu with the existing issued Ordinary shares.
