Acquisition

Anite Group PLC 2 November 2001 Friday 2nd November 2001 Anite makes further public sector acquisition Anite Group plc ('Anite'), the European IT consultancy and services company, today announces that it has acquired Braid Hill Holdings Ltd ('BH'), an Edinburgh based public sector software business focusing on support for the Criminal Justice community. The business will be merged into Anite Public Sector's Scottish operation, Anite Scotland Ltd. The total consideration payable in shares comprises an initial consideration of £200,000 with up to a further £100,000 deferred consideration, payable on the achievement by BH of certain profit and revenue targets. Founded in 1993, BH has established a considerable market presence with the district courts service in Scotland, providing court management and fine processing solutions to 57 out of the 71 courts. BH's portfolio also incorporates Local Authority applications covering licensing administration and on-line publication of committee information from their Council Information System (CoInS). Anite Scotland is an existing supplier to Local Authorities and organisations in the Scottish Criminal Justice community such as the Crown Office and Scottish Court Service, and is committed to supplying the software services that contribute to the environment in which the Integration of the Scottish Criminal Justice Information Systems (ISCJIS) initiative can evolve. The acquisition of BH will significantly strengthen this position with the addition of the company's Fines and Court Management software solutions in the district courts component of the ISJCIS loop. Overall, the acquisition reinforces Anite's strategic focus on enabling joined-up working across Central and Local Government, strengthening links between Anite's Criminal Justice and Local Authority portfolio of software and services, particularly in the Social Care arena, across the whole of the UK public sector market. Anite's Chief Executive John Hawkins, commenting on the acquisition, said: 'Our strategy has been to build up Anite by selective acquisitions and organic growth. We now have a highly successful Public Sector business, that is well managed and rapidly growing, based on a strong portfolio of solutions for both Local and Central Government that uniquely positions us to meet the challenges of joined up government.' - Ends - For further information please contact: Anite Group Plc 0118 945 0121 John Hawkins, Chief Executive www.anite.com Golin/Harris Ludgate 020 7324 8888 Reg Hoare/Laurence Read
