Acquisition

Anite Group PLC 19 April 2001 Anite Group plc ('Anite' or 'Company') Anite acquires BCT for a consideration of £1.35m Anite, the European IT consultancy and services company, today announces that it has acquired Business Computer Technology Ltd ('BCT') for a consideration of £1.35m. The consideration will be satisfied by the issue and allotment by Anite of 1,112,943 ordinary shares of 10 pence each in the capital of Anite ('Anite Shares'), at the rate of 121.3 pence per ordinary share. BCT is a specialist public sector supplier which develops, supplies and maintains software applications for the management of corporate debt and other solutions. The business will be merged into Anite Public Sector's ('APS') Scottish organisation and all its operations will be branded Anite in line with current strategy. BCT's business is based in Glasgow and engages around 20 people. APS has a focused distribution strategy to the public sector with products and services supplied to local government finance, revenues, housing and social services departments. It is also well placed to work in partnership with local authorities on corporate e-government initiatives. Government initiatives are driving the Public Sector to adopt an holistic approach to customer service. This means that the management of debt, which has traditionally been undertaken at departmental level within Local Authorities, must now be managed corporately. This acquisition further strengthens Anite's leading position in the Public Sector market by offering an additional market leading solution in this area. BCT's portfolio also includes e-procurement and other web based applications that complement Anite's existing e- government capability. Commenting on the acquisition, John Hawkins, Chief Executive of Anite Group plc said: 'This acquisition offers a unique solution and further strengthens Anite's leading position in the Public Sector market, recently enhanced by the acquisition of the government applications business of International Computers Limited.'
