DTR 3.1.4 - Notification of Transaction by Director/PDMR
The Company announces that on 4th April 2008 it received notification from
Julian Green that on 1 April 2008 he entered into two contracts to sell, in
aggregate, 26,775,000 ordinary shares of 0.01 pence each in the Company
('Shares') to a trust ('Trust'), of which he is co- trustee and sole
beneficiary, under arrangements to facilitate tax planning before changes to UK
capital gains tax become effective on 6 April 2008.
Under the terms of each Contract, Mr. Green has agreed to sell the Shares to the
Trust on a date falling six years from the date of entry into the Contract or
such earlier time as the parties to the Contract may agree (in each case '
Completion'). The consideration for the Shares under each Contract shall be
their market value on the date of Completion.
Until Completion, Mr. Green shall continue to control the exercise of voting
rights in respect of the Shares.
