Conversion of Subscription Shares - update 

This announcement replaces the announcement which was made on 4 July 2013 under RNS reference 6584I.  The only change relates to the reference to the Financial Services Authority ("FSA") which has been changed to refer to the Financial Conduct Authority ("FCA") - all other details in the announcement remain the same).

The Board of the Company announces that 150 ordinary shares of 1p each in the capital of the Company (the "New Shares") have been issued following the exercise of subscription rights by holders of a corresponding number of subscription shares of 1p each in the capital of the Company (the "Subscription Shares"), conditional only on the New Shares being admitted to the premium segment of the Official List and to trading on the London Stock Exchange's main market ("Admission").  The New Shares will rank pari passu in all respects with the existing ordinary shares of 1p each in the capital of the Company ("Ordinary Shares").

Applications have been made for Admission and Admission is expected to become effective, and dealings in the New Shares are expected to commence, at 8.00 a.m. on Tuesday, 9 July 2013.  Following the issue of the New Shares, the Company's issued share capital will comprise 47,869,690 Ordinary Shares, of which 2,932,528 are held in treasury, and 6,865,466 Subscription Shares (which carry no voting rights).  Therefore, the total number of shares with voting rights in the Company will be 44,937,162 Ordinary Shares.

The above figure (44,937,162) may be used by Ordinary Shareholders and other investors as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's ("the FCA's") Disclosure and Transparency Rules.
