     Annual Report 2002 and Circular on approval of waiver to be granted by 
                    The Panel on Takeovers and Mergers 

The Board of Secure Trust Banking Group PLC ('secure Trust' or 'the Company')
announces that it has posted today both the Annual Report for 2002 and a
Circular on the approval of a waiver to be granted by The Panel on Takeovers and
Mergers, subject to independent shareholder approval, of the obligation under
the City Code for the Chairman of Secure Trust to make a mandatory offer for the
Company in the event of the Company purchasing its own shares.

A copy of each document has been submitted to the UKLA, and will shortly be
available for inspection at the UKLA'S Document Viewing Facility, which is
