VOTING RIGHTS AND CAPITAL


In conformity with the Transparency Directive's transitional provision 6,
Andrews Sykes Group PLC notifies the market of the following:

Andrews Sykes Group PLC's capital consists of 44,552,865 ordinary shares with a
nominal value of 1p each, with voting rights. Andrews Sykes Group PLC has does
not hold any ordinary shares in Treasury.

Therefore, the total number of voting rights in Andrews Sykes Group PLC is
44,552,865.

The figure of 44,552,865 may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Andrews Sykes Group PLC under
the FSA's Disclosure and Transparency Rules.
