ANDREWS SYKES GROUP PLC (the 'Company')

PURCHASE OF OWN SECURITIES AND DIRECTOR'S SHAREHOLDING


Andrews Sykes Group plc announces that on Wednesday 23 July 2003 it purchased
for cancellation 45,000 Ordinary Shares of 20p each at a price of 185p per
share.

The issued share capital of the Company is now 59,136,591 Ordinary Shares.

The Company was also notified on Wednesday 23 July 2003 that, following a sale
of 15,000 Ordinary Shares on Wednesday 23 July 2003 at a price of 185p per share
Mr R J Stevens, a director of the Company, is now interested in 45,256 ordinary
shares representing 0.77 per cent. of the current issued share capital.
