PURCHASE OF OWN SECURITIES AND DIRECTOR'S SHAREHOLDING

Andrews Sykes Group plc announces that on Tuesday 10 June 2003 it purchased for
cancellation 500,000 Ordinary Shares of 20p each at a price of 205p per share.

The issued share capital of the Company is now 59,201,591 Ordinary Shares.

The Company was notified that following a sale of 500,000 Ordinary Shares at a
price of 205p per share Mr J C Pillois, a director of the Company, is now
interested in 538,580 ordinary shares representing 0.91 per cent. of the current
issued share capital.
