PURCHASE OF OWN SECURITIES AND DIRECTOR'S SHAREHOLDING


Andrews Sykes Group plc announces that on Thursday 22 May 2003 it purchased for
cancellation 20,000 Ordinary Shares of 20p each at a price of 182p per share.


The issued share capital of the Company is now 59,750,341 Ordinary Shares.


The Company was notified that yesterday Jacques Gaston Murray, a director of the
Company, transferred 337,065 Ordinary Shares for no consideration to Mr J J
Murray, also a director of the company.


Mr J G Murray is now interested in 50,135,192 Ordinary Shares in the Company
representing 83.91 per cent. of the issued share capital of the company and Mr J
J Murray is now interested in 632,065 Ordinary Shares in the Company
representing 1.06 per cent of the issued share capital of the company.
