PURCHASE OF OWN SECURITIES AND DIRECTOR'S SHAREHOLDING


Andrews Sykes Group plc announces that today it purchased for cancellation
20,000 Ordinary Shares of 20p each at a price of 114.5p per share.

The issued share capital of the company is now 72,670,672.

The Company also announces that Jacques Gaston Murray, a director of the
company, today sold 20,000 Ordinary Shares at a price of 114.5p per share.  
Mr J G Murray is now interested in 50,756,257 Ordinary Shares in the Company
representing 69.84 per cent. of the issued share capital.
