Notification of Major Interests in Shares


On 18 October 2002, J O Hambro Capital Management Limited ('JOHCM') and Oryx
International Growth Fund Limited ('ORYX') submitted a substantial shareholding
notification, pursuant to Section 198 of the Companies Act 1985 (the 'Act'), as
amended by Section 134 of the Companies Act 1989, that as a result of the sale
on 14 October 2002 of 2,143,000 shares in Andrews Sykes Group plc (the 
'Company'), both JOHCM and ORYX, who had previously been parties to an agreement 
to which Section 204 of the Act applies, are now no longer interested in any of 
the issued share capital of the Company.
