Notification of Major Interests in Shares

On 15 August 2002, J O Hambro Capital Management Limited ('JOHCM') and ORYX
International Growth Fund Limited ('ORYX)') submitted a concert party
notification, pursuant to Section 204 of the Companies Act 1985. At that time,
JOHCM confirmed that it was interested in 2,428,000 Ordinary 20p shares of
Andrews Sykes Group plc (the 'Company'), whilst ORYX confirmed that it was
interested in 500,000 shares in the Company. These amounts represent 3.37% and
0.69% of the total issued share capital of the Company respectively. These
shares are held as follows:



HSBC Global Custody London Limited               500,000

Goldman Sachs International TNA                1,548,000

Goldman Sachs International THO                  670,500

Goldman Sachs International THT                  209,500



TOTAL                                          2,928,000  = 4.06%


Previously, on 20 February 2002, JOHCM and ORYX notified the Company that their
total interest under this concert party was in 2,478,000 shares of the Company,
which, at that time, represented 3.38% of the total issued share capital of the
Company.
