The issuer has made the following amendment to the Directors Shareholding
announcement released on 12 January 2000 at 17.00 under RNS No 6846D.

Mr J.G. Murray's beneficial holding has been reduced to 48,503,600
ordinary 20p shares representing 52.6% of the company's issued share
capital and not 47,646,935 ordinary 20p shares representing 55.25% as previously
shown.  

All other details remain unchanged.

The  Board  of Andrews Sykes Group plc has today been notified  that  Mr
J.G.  Murray   transferred, on 7 January 2000, for nil consideration,  a
total  of  25,000  ordinary  20p shares.  Following  this  transfer  his
beneficial  holding  is  reduced  to  48,503,600  ordinary  20p  shares,
representing 52.6% of the Company's issued share capital.
