                   Notification of Directors' Interest


Andrews Sykes Group plc has today been notified by the Trustee that  the
1998  Employee  Share Ownership Plan has purchased 20,000  Ordinary  20p
shares  at 125p per share.  Following this purchase the holding  of  the
Employee Share Ownership Plan is 60,000 Ordinary 20p shares representing
0.070% of the Company's issued share capital.

The following directors are potential beneficiaries under the Scheme and
therefore are deemed to have acquired a non-beneficial interest in these
shares.
