                            Directors Shareholding


The Company was notified on 20 September 2001 that on 19 September 2001 Mr J.
P. Murray assigned the voting rights over 1,415,000 Andrews Sykes ordinary
shares to Mr J.G. Murray, Chairman of the Company. Consequently, Mr J.G.
Murray now has an interest in 49,563,980 Andrews Sykes ordinary shares
representing 63.5% of the Company's issued share capital.
