                              Holding(s) in the Company


Moneybox plc (the 'Company') received notification on 6 May 2005 that Morgan
Stanley Securities Limited ('MSSL') acquired an interest on 4 May 2005 that
resulted in a total holding of 8,225,000 ordinary shares of 10p each in the
Company, representing approximately 4.05% of the issued ordinary share capital
in the Company.

MSSL have transferred from time to time 7,825,000 ordinary shares to a third
party on terms which gives MSSL the right to require the return of an equivalent
number of ordinary shares.  Accordingly, MSSL's interest in 7,825,000 ordinary
shares is pursuant to section 208(5) of the Companies Act 1985.

By reason of section 203 of the Companies Act 1985, those Morgan Stanley group
companies which are direct or indirect holding companies of MSSL are also taken
to be interested in the above shares.
