In conformity with the Transparency Directive's transitional provision 6, Dowlis
Corporate Solutions plc notifies the market of the following:



The Company's issued share capital consists of 38,203,480 ordinary shares of
0.4p each with voting rights.

No ordinary shares are held in treasury.



The above figure of 38,203,480 may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or change to their interest in Dowlis, under the FSA's
Disclosure and Transparency Rules.
