CLOSE BROTHERS VENTURE CAPITAL TRUST PLC
Results of AGM and EGM and final results of Tender Offer
The board of Close Brothers Venture Capital Trust is pleased to announce that at
the Annual General Meeting and Extraordinary General Meeting held today,
shareholders voted in favour of the proposals for the continuation of the
Company as a venture capital trust for a further five years, for a change in the
company's borrowing powers, and for the Tender Offer to purchase up to 10% of
the Company's share capital at 100p per share.
Final valid applications received under the Tender Offer amounted to 3,633,467
shares with the result that all valid applications received under the Tender
Offer will be satisfied in full. Applications have been received from existing
and new shareholders to purchase a total of 560,500 shares being tendered for
sale under the Tender Offer, with the result that the Company will purchase in
for cancellation the balance, being 3,102,967 shares, all at a price of £1 per
share. It is currently anticipated that the proceeds of shares sold under the
Tender Offer will be sent to shareholders on 6 August.
