Issue of Equity and Total Voting Rights

Albion Venture Capital Trust PLC (the "Company") announces that, further to the Dividend Reinvestment Scheme introduced by the Company (details of which were set out in the Circular issued to shareholders on 10 July 2008), on 31 July 2013 the Company allotted 144,173 Ordinary shares of 1 penny each (the "New Ordinary shares") in the capital of the Company. The New Ordinary shares were issued at a price of 71.7p, comprising the net asset value at 31 March 2013 less the interim dividend of 2.5 pence per Ordinary share to be paid on 31 July 2013.

Of the 144,173 New Ordinary shares allotted on 31 July 2013, an application has been made to the UK Listing Authority for the admission of 65,024 New Ordinary shares to the Official List of the UK Listing Authority and to trading on the London Stock Exchange's main market for listed securities and it is expected that dealings will commence on or before 1 August 2013. The New Ordinary shares will rank pari passu in all respects with the existing Ordinary shares in issue.

A further two applications will be made for the remaining shares of which the first will be submitted to the UK Listing Authority for 65,278 New Ordinary shares to be admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange's main market for listed securities. It is expected that dealings will commence on or before 8 August 2013. The New Ordinary shares will rank pari passu in all respects with the existing Ordinary shares in issue.

The final application will be made to the UK Listing Authority for the 13,871 remaining shares to be admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange's main market for listed securities. It is expected that dealings will commence on or before 15 August 2013. The New Ordinary shares will rank pari passu in all respects with the existing Ordinary shares in issue.

Following the issue of the New Ordinary shares, Albion Venture Capital Trust PLC's capital as at 31 July 2013 consists of 63,066,034 Ordinary shares of which 4,440,440 shares are held in Treasury.

Therefore the total number of voting rights in Albion Venture Capital Trust PLC is 58,625,594 which may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Albion Venture Capital Trust PLC under the FCA's Disclosure and Transparency rules.
