VOTING RIGHTS AND CAPITAL

In conformity with the Transparency Directive's provisions we would like to
notify the market of the following;



Close Brothers Development VCT PLC's capital as at 31 January 2007 consists of
13,042,667 Ordinary shares and 18,120,058 C shares, with a nominal value of
0.50p each, with voting rights.  Close Brothers Development VCT PLC holds
275,118 Ordinary shares and 156,715 C shares in Treasury.



Therefore, the total number of voting rights in Close Brothers Development VCT
PLC is 12,767,549 Ordinary shares and 17,963,343 C shares.



The figure of 30,730,892 may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Close Brothers Development VCT
PLC under the FSA's Disclosure and Transparency Rules.
