VOTING RIGHTS AND CAPITAL


In conformity with the Transparency Directive's transitional provision 6, Sirdar
PLC notifies the market of the following:


Sirdar PLC's capital consists of 46,242,455 ordinary shares with a nominal value
of 25p each, with voting rights. Sirdar PLC does not hold any ordinary shares in
Treasury.


Therefore, the total number of voting rights in Sirdar PLC is 46,242,455.


The figure of 46,242,455 may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Sirdar PLC under the FSA's
Disclosure and Transparency Rules.
