Poll Results of the Extraordinary General Meeting

 

The Board is pleased to announce that all the proposed resolutions set out in the revised form of proxy for the EGM were duly passed by the shareholders of the Company by way of poll at the EGM held on 25 November 2011.

 

 Reference is made to the circular of AirChina Limited (the "Company") dated 10 November 2011 (the "Circular"). Unless otherwisespecified in this announcement, terms used herein shall have the same meanings as defined in the Circular.

The board of directors of the Company (the "Board") is pleased to announce that all the proposed resolutions set out in the revised form of proxy for the EGM were duly passed by the Shareholders by way of poll at the EGM held on 25 November 2011 at The Conference Room, Air China Building, 36 Xiaoyun Road, Chaoyang District, Beijing, PRC.

As stated in the notice of EGM dated 10 October 2011, Shareholders whose names appear on the register of members of the Company at the close of business on 25 October 2011 were entitled to attend the EGM.

As at the date of this announcement, Cathay Pacific, being a substantial shareholder of the Company and Air China Cargo, together with its associates, are required to abstain from voting on the ordinary resolutionconsidering the Transactions and the relevant annual caps at the EGM (the "Ordinary Resolution"). However, Cathay Pacific together with its associates are not required to abstain from voting on other ordinary resolutionconsidered at the EGM. As no other Shareholders have material interests in the ordinary resolutions, no other Shareholders are required to abstain from voting at the EGM in respect of the ordinary resolutions.

Shareholders and authorized proxies holding an aggregate 9,754,589,572 shares (7,237,204,117 shares if excluding shares held by Cathay Pacific together with its associates for approving the Ordinary Resolution), entitling them to vote for or against the proposed resolutionsat the EGM, were present at the EGM. Theholding of the EGM was in compliancewith the requirements of the Company Law of the People's Republic of China and the provisions of the articles of association of the Company. The EGM was chaired by Mr. Kong Dong, the chairman of the Company. 

The poll results in respect of the proposed resolutionsat the EGM were as follows:

To  consider  and  approve:  the  continuing  connected transactions between the Company and Air China Cargo Co., Ltd.; the annual caps for the aggregate amount payable by Air China Cargo Co., Ltd. to the Company pursuant to such continuing connected transactions for the years ending 31 December 2011, 2012 and 2013, being RMB5.6 billion, RMB6.3 billion and RMB7.7 billion, respectively; and the annual caps for  the  aggregate  amount  payable  by  the  Company to Air  China  Cargo  Co.,  Ltd.  pursuant  to  the  same continuing connected transactions for the years ending 31 December 2011, 2012 and 2013, being RMB46.0 million, RMB46.0 million and RMB46.0 million, respectively.

As more than 50% of the votes were cast in favour of the above resolutions, the above resolutions were duly passed as ordinary resolutions.
