CSRC'S APPROVAL ON PLACING OF H SHARES Overseas RegulatoryAnnouncement

On 27 October 2010, Air China Limited (the "Company") has received a formal approval from China Securities Regulatory Commission that the Company is approved to place no more than 157,000,000 H shares to China National Aviation Corporation(Group) Limited. All H shares are ordinary shares with par value of RMB1 per each H share.

This announcement is issued by the Company pursuantto Rule 13.09(2) of the Rules Governing the Listing of Securitieson The Stock Exchange of Hong Kong Limited.
