ANNUAL GENERAL MEETING HELD ON 25 FEBRUARY 2004

The Board of Aberforth Geared Capital & Income Trust plc ("AGCiT") is pleased
to  announce that all the resolutions proposed at the Annual General  Meeting
held  on 25 February 2004 were passed by Shareholders on a unanimous show  of
hands.

Proxy  votes were lodged for 14,182,918 voting shares in respect to all five
ordinary resolutions, representing 40.5% of the total voting shares in issue.
There was no Special Business conducted at the Meeting.
