Periodic Tender Offer

As part of the Company's discount control policy, set out in its prospectus dated 23 December 2008, the Board stated its intention, subject to the Board's discretion being exercised, to conduct periodic tender offers, on a six monthly basis.  The Company has today published a circular (the "Circular") setting out terms of the Company's second Periodic Tender Offer together with details of how Shareholders can tender Shares if they wish to do so.

Expected timetable

Record Date for the Periodic Tender Offer	Close of business on 10 September 2010
Latest time and date for receipt of Tender Instructions	3.00 p.m. on 15 December 2010
Closing Date:  latest time and date for receipt of Tender Forms	3.00 p.m. on 17 December 2010
Calculation Date	Close of business on 31 December 2010
Result of Periodic Tender Offer and Tender Price announced	12 January 2011
Settlement Date:  cheques despatched and payments through CREST made and CREST accounts settled	21 January 2011 or as soon as practicable thereafter
Share certificates despatched	26 January 2011 or as soon as practicable thereafter

Copies of the Circular, the tender form and the tender instruction will be submitted to the national storage mechanism and will shortly be available for inspection at www.hemscott.com/nsm.do*.  Copies of these documents will also be available in electronic form on the Company's web page at www.standardlifeinvestments.com/its*.
