                      API Group plc - Total voting rights



In conformity with the Disclosure and Transparency Rules, API Group plc now
notifies the market of the following:



During the month of August, the company's issued share capital increased to
34,526,815 ordinary shares of 25 pence each with voting rights.



This figure may be used by shareholders as the denominator for the calculations
by which they will determine if they are required to notify an interest in, or a
change in an interest in, the Company under the Disclosure and Transparency
Rules.



API Group plc does not hold any shares in treasury.
