                      API Group plc - Total voting rights

In conformity with the Disclosure and Transparency Rules, API Group plc notifies
the market that there are in issue 34,569,513 ordinary shares of 25 pence each
with voting rights. This figure may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
an interest in, or a change in an interest in, the Company under the Disclosure
and Transparency Rules.

The Company does not hold any shares in treasury.

This notification replaces that made by the Company on 7 September 2007.
