Shareholder Disclosure

API Group plc, (the "Company") announces that it was informed on 21 December 2012, that Wynnefield Capital, Inc. transferred a total of 2,010,000 ordinary shares of 1p each in the Company from Wynnefield Small Cap Value Offshore Fund, Ltd to Wynnefield Partners Small Cap Value, LP I as part of a group reorganisation.

Following the transfer, there is no change to Wynnefield Capital, Inc.'s beneficial holding in the Company, which remains at 22,780,966 ordinary shares, representing 29.68 per cent. of the Company's issued share capital.
