The Board of API Group plc (the 'Company') received notification on 25 October
2004 that SVG Investment Managers Limited ('SVG IM') is interested in 700,000
ordinary shares of API Group plc.


This interest arises, as to 352,864 ordinary shares, in its capacity as general
partner of The Strategic Recovery Fund Limited Partnership (LP 9141) and, as to
347,136 ordinary shares in its capacity as manager of the SVG Capital PLC 
('SVG') SRF co-investment scheme.


SVG is the holding company of SVG IM and is interested in the above shares.  The
registered holder of all the above shares is Barfield Nominees Limited and
represents 2.07% of the issued share capital of the Company.
