The Company was notified on 13 December 2005 that, as at 12 December 2005, the
Trustees of the BT Pension Scheme, Hermes Investment Management Limited and
Hermes Pensions Management Limited together hold 5,489,211 Ordinary Shares of
25p each, representing approximately 16.2% of the issued share capital of the
Company.

Of these 5,489,211 Ordinary Shares, Possfund Nominees Limited hold 2,220,721
shares representing approximately 6.6%, and 3,268,490 are held in the name of
Britel Fund Nominees Limited, representing approximately 9.6%. 85,000 of these
shares are loaned to third parties.
