API Group plc (the 'Company')

Directors' Shareholdings

API Group plc announces that it has today granted share options to Derek Ashley,
Group Chief Executive and David Walton, Group Finance Director, over 340,000 and
180,000 of the Company's ordinary 25 pence shares ('Shares') respectively, at an
exercise price of 65.5 pence per share, such options to be exercisable (in
normal circumstances) between 11 March 2005 and 12 March 2012.

Mr Ashley now holds options over a total of 911,428 Shares and Mr Walton holds
options over a total of 180,000 Shares.
