API Group plc announces that on Friday 2 July 2004 it granted share options to
David Walton, Group Chief Executive and Colin Ames, Group Director of
Operations, over 200,000 and 80,000 of the Company's ordinary 25 shares
('Shares') respectively, at an exercise price of 66.5 pence per share, such
options to be exercisable (in normal circumstances) between 1 July 2007 and 2
July 2014.

Mr Walton now holds options over a total of 571,320 Shares and Mr Ames holds
options over a total of 229,373 Shares.
