The Company announces that on 28 September 2001 the UKLA approved the
conversion of 46,770,630 of the Company's Growth Shares into Ordinary Shares
on a 1 for 1 basis.  The Growth Shares will be automatically converted, as a
class, into Ordinary Shares.  The new Ordinary Shares will be admitted to the
official list of the UKLA and to trading on the main market of the LSE on
Monday 1 October 2001.
