 Withdrawal of the offer by Standard Life plc ('Standard Life') for Resolution
                               plc (the 'Offer')

Standard Life announces that, with the consent of the Takeover Panel's
Executive, it is withdrawing its offer for Resolution plc under Rule 2.7 of the
City Code on Takeovers and Mergers.  Standard Life will not, therefore, be
proceeding with the Offer and no documentation in connection with the Offer will
be posted.
